Apacible Street, UP Campus, Diliman, Quezon City, herein represented by its President, <strong>MA. SHEILAH G. NAPALANG<\/strong>, hereinafter referred to as \u201c<strong>TSSP<\/strong>\u201d;<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0&#8211; and &#8211;<\/div><div>\u00a0<\/div><div>[<strong>NAME OF STUDENT ORGANIZATION<\/strong>], a student organization duly organized and officially recognized by the Higher Education Institution [as define under paragraph 1(c)], with address at [address of Student Organization], herein represented by its President, __________________, and Vice-President, ____________________, hereinafter referred to as the &#8220;<strong>Student Organization<\/strong>&#8220;.<\/div><div>\u00a0<\/div><div>TSSP and the Student Organization shall together be referred to herein as the \u201cParties\u201d, and each as a \u201cParty\u201d.<\/div><div>\u00a0<\/div><div>WHEREAS, TSSP is a scientific and research society duly registered with the Securities and Exchange Commission (SEC) as a non-stock and non-profit corporation.\u00a0\u00a0<\/div><div>\u00a0<\/div><div>WHEREAS, one of TSSP\u2019s primary purposes is to contribute to the growth of transportation science and the development of sustainable transportation systems.\u00a0 It accordingly provides opportunities for the professional growth to its members, and expands the pool of transportation science experts through learning programs, researches, and publications;<\/div><div>\u00a0<\/div><div>WHEREAS, the Student Organization is an existing student organization that has been established in and officially recognized by the Higher Education Institution identified below;<\/div><div>\u00a0<\/div><div>WHEREAS, among the Student Organization\u2019s purposes are to: (i) develop and enhance its organization\u2019s and members\u2019 knowledge and understanding of transportation engineering, planning and science; (ii) enrich their member\u2019s learning and practical knowledge in transportation through linkage, exchange and collaboration with transportation experts, educators, practitioners and institutions; and (iii) engage in initiatives and undertakings that promote transportation science, justice, and safety;<\/div><div>\u00a0<\/div><div>WHEREAS, the affiliation of the Student Organization with TSSP will enable TSSP to reach more students, teachers and institutions in order to generate interest in transportation-related researches and specialization in order to broaden knowledge and the pool of experts.\u00a0 On the other hand, the Student Organization would benefit from the support and participation in the programs and activities undertaken by TSSP;<\/div><div>\u00a0<\/div><div>WHEREAS, in view of all the above, the Student Organization has applied for recognition by and affiliation with the TSSP;<\/div><div>\u00a0<\/div><div>NOW, THEREFORE, in view of the above, TSSP and the Student Organization hereby agree as follows:<\/div><div>\u00a0<\/div><div><strong>1. Definitions<\/strong><\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0In this Agreement:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 (a) \u201cCosts\u201d shall mean all costs including the salaries of a<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Party\u2019s personnel or agents, regardless of any work or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0service rendered by such personnel or agents;<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0overhead and office expenses for the maintenance and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0upkeep by a Party of its facilities, whether or not the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0same are used to carry out any of the objectives of this<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Agreement; national and local taxes or other<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0government assessments and fees; and travel expense,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0out-of-pocket expenses, and any other internal costs<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0and expenses, including but not limited to, the fees of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0their respective technical and financial advisers,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0lawyers and\/or accountants, directly incurred or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0committed by such Party for the performance of its<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0obligations pursuant to this Agreement.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 (b) \u201cFaculty Advisor\u201d means the faculty member of the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Higher Education Institution officially designated,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0appointed, or chosen to provide advice, guidance and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0support to the Student Organization in relation to its<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0purpose and activities.\u00a0 The Faculty Advisor shall be a<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0full-time faculty member of the Higher Education<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Institution and shall have been designated, appointed<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0or chosen as such according to the requirements and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0practices of the Higher Education Institution.\u00a0 The<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Faculty Advisor must also be a regular or lifetime<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0member of TSSP.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 (c) \u201cHigher Education Institution\u201d means [name of the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0university or higher educational institution], which has<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0officially registered and recognized the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Organization as a student organization therein. The<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Higher Education Institution should be a state<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0university or duly accredited by the Commission on<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Higher Education (CHED) as a university or higher<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0education institution.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 (d) \u201cMaterial Fact\u201d means one where, had one Party<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0known of such fact either during the negotiation or at<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0any time during the effectivity or term of this<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Agreement, the other Party would not have entered<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0into this Agreement.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 (e) \u201cOfficers\u201d means the President and Vice President of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0the Student Organization who are signatories to this<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Agreement and their successors.\u00a0<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 (f) \u201cOrganization Documents\u201d means the set of formal<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0documents\u00a0 consisting of the constitution, charter,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0articles of organization, bylaws and\/or equivalent<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0documents serving as the highest governing<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0documents of the Student Organization, which<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0generally include the Student Organization\u2019s name,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0address, purpose, structure, officers, membership<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0qualifications and internal rules.<\/div><div>\u00a0<\/div><div><strong>2. Purpose and Interpretation of the Agreement<\/strong><\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 2.1 The Parties entered into this Agreement in order to:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(a) Formally recognize and establish the affiliation of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 the Student Organization with TSSP, subject to the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 terms and conditions herein;<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (b) Foster collaboration between the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Organization and the TSSP in promoting and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 undertaking transportation-related programs,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 projects, activities and initiatives within and outside<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 the Higher Education Institution; and<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(c) Provide for the rights and obligations of the Parties<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 in relation to the affiliation.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 2.2 In interpreting this Agreement, it is the intention of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 the Parties to acknowledge and recognize their<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 affiliation and that membership in the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Organization is separate and distinct from<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 membership in TSSP.\u00a0 Nothing in this Agreement shall<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 be construed as:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(a) Manifesting any intent to create a parent<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 subsidiary, merger, joint venture, partnership,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 agency, service or contractor relationship between<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 them; and<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(b) Making or considering the Student Organization<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 and\/or its individual members as automatic<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 members of TSSP. Neither the Organization nor its<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 individual members shall, by reason of this<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 affiliation, be entitled to membership and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 enjoyment of rights, titles and benefits granted to<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 TSSP members.\u00a0 The individual members of the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Student Organization are nevertheless encouraged<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 to apply and become:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(i) student members of TSSP by applying directly<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 as such with the TSSP; or\u00a0<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (ii) associate or regular members of TSSP by<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0applying directly as such with the TSSP after<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0graduating from the Higher Education<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Institution.<\/div><div>\u00a0<\/div><div><strong>3. Privileges and Responsibilities of the Student Organization<\/strong><\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a03.1 Privileges of the Student Organization. As an affiliate of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0TSSP, the Student Organization shall enjoy the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0following privileges:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (a) Use of the TSSP logo for the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Organization\u2019s official activities and business<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0purposes.\u00a0 When used, the TSSP logo shall always<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0be placed side by side with the name or official<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0seal\/logo of the Student Organization on the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Student Organization\u2019s letterhead, stationery,|<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0documents, publications, directories, signages, and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0website.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(b) Access to material resources, facilities, a\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0expertise as may be provided by TSSP.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(c) Preference and opportunity to be invited to,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 participate in and collaborate with TSSP in<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 transportation seminars, conferences, projects and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 activities.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a03.2 Responsibilities of\u00a0 the Student Organization. The<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Student Organization and its individual members shall <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0perform, undertake and be responsible for the\u00a0 following:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(a) Conduct themselves in a responsible, respectable<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 and professional manner and in accordance with<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 such policies, rules, regulations and guidelines<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (collectively the \u201cGuidelines for Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Organizations\u201d) that the TSSP may issue from time<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 to time.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(b) Comply with such policies, rules, regulations and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 guidelines that the Higher Education Institution<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 may issue from time to time.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(c) Uphold and protect the integrity and good name of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 TSSP at all times.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(d) Adopt and maintain the Model Organization<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Document or Bylaws for student organizations, a<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 copy of which is hereto attached as Annex \u201cA\u201d or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 one that is substantially similar to it.\u00a0 TSSP reserves<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 the right to terminate the Agreement at any time if<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 the Organization Documents of the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Organization would not be aligned with TSSP\u2019s<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 purpose, ideals, terms and policies.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (e) Properly select only members who shall be: (i) of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0good moral character; and (ii) are responsible and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0respectable members of their community and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0students of the Higher Education Institution.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (f) Ensure that its individual members are made fully<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 aware of the Student Organization\u2019s obligations<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 under this Agreement and ensure that they would|<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 abide and comply with them in good faith.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(g) Within the 1st month of every academic year of the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Higher Education Institution, submit to TSSP the:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (i) Current Organization Documents of the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Organization;<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (ii) Activity report of the past academic year, which shall<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 include the description of activities conducted and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 accomplishments; and<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (iii) Plan of activities for the current academic year, which<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 shall include the current list of officers, members and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Faculty Advisor, contact person and contact<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 information.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(h) Subject to Republic Act No. 10173 (also known as the Data<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Privacy Act of 2012) and its Implementing Rules and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Regulations (IRR), provide any and all information and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 documents reasonably requested by TSSP regarding the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Student Organization\u2019s composition, plans and activities in<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 order for TSSP to properly evaluate the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Organization.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(i) Within the 1st month of every academic year of the Higher<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Education Institution, pay the annual Student Organization<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 affiliation fee.\u00a0 The payment of said affiliation fee shall not<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 in any way be regarded as or equivalent to payment of the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 membership fee in TSSP.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a03.3 Failure to Comply with Responsibilities. If the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Organization fails to or is unable to comply with any or all its<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0responsibilities, representations, warranties and covenants<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0under this Agreement, then it shall be considered inactive. If the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Student Organization remains inactive for two (2) consecutive<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0years, affiliation shall be withdrawn and an application for<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0reactivation shall be required.<\/div><div>\u00a0<\/div><div><strong>4. Rights and Responsibilities of TSSP<\/strong><\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a04.1 Rights of TSSP. TSSP shall have the following rights:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(a) To receive information and updates on the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Organization&#8217;s status, affairs and activities.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(b) Have sole authority and control over all aspects of its<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 organization status, affairs, programs and activities.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(c) Terminate this Agreement due to the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Organization\u2019s or its member\u2019s misconduct, negligence or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 failure to comply with any of the terms and conditions of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 this Agreement.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a04.2 Responsibilities of TSSP.\u00a0 TSSP shall have the following<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 responsibilities:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(a) Provide guidance and support to the Student Organization<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 in programs and activities that they may mutually identify<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 and agree upon.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(b) Notify the Student Organization of any changes in TSSP\u2019s<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 status that may directly affect the status and affairs of the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Student organization.<\/div><div>\u00a0<\/div><div><strong>5. Representations and Warranties of the Student Organization and Its Officers<\/strong><\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a05.1 The Student Organization and its Officers represent and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 warrant as follows:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(a) Student Organization is duly organized and validly existing<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 under and by virtue of the policies, rules, regulations,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 requirements, guidelines and practices of the Higher<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Education Institution, and has the authority to conduct its<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 affairs as presently being conducted.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(b) The Student Organization is in good standing with the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Higher Education Institution.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(c) The execution, delivery and performance of the terms<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 and provisions of this Agreement and the other documents<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 and instruments to be delivered pursuant and\/or relevant<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 thereto:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (i) have been duly authorized by all necessary<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0organizational actions; and<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (ii) will not violate or contravene any: (1) policy, rule,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0regulation and guideline of the Higher Education<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Institution; (2) provision of law or of any applicable<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0regulation, order or decree of any court, tribunal,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0quasi-judicial agency or government instrumentality, or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0conflict or be inconsist\u00acent with or result in any breach<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0of any of the terms, covenants, conditions or provisions<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0of, or constitute a breach under any agreement or other<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0instrument to which it or its members is a party or by<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0which they may be bound or subject to.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(d) All orders, consents, approvals, or authorizations of the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Higher Education Institution and any governmental body,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 agency, commission or board, if any be necessary for the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 execution and delivery of this Agreement and other<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 documents and instruments relevant and\/or to be<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 delivered pursuant hereto have been obtained or complied<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 with by the Student Organization and are in full force and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 effect.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(e) The Faculty Advisor is a: (i) full-time faculty member of the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Higher Education Institution and has been designated,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 appointed or chosen as such according to the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 requirements and practices of the Higher Education<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Institution; and (ii) regular or lifetime member of TSSP.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (f) The Student Organization has at least ten (10) members all<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 of whom are in good standing and currently enrolled in the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Higher Education Institution.<\/div><div>\u00a0<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(g) The Student Organization is compliant with the Data<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Privacy Act of 2012 and its IRR in relation to its collection<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 of Personal Data, and in obtaining the Data Subjects\u2019<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 consent for the sharing of Personal Data with TSSP; and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 that it has in place appropriate administrative, physical,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 technical and organizational security measures that<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 protect Personal Data from Security Breach. Capitalized<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 terms used under this paragraph shall have the same<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 meaning attributed to them under the aforementioned law<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 and its IRR.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(h) They have not failed to disclose any Material Fact that may<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 affect the execution and performance and execution of this<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Agreement during its effectivity or term.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (i) As of the date of this Agreement, the representation and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0warranties provided in this Agreement are true and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0correct in all material respects.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a05.2 TSSP\u2019s Reliance on Representations and Warranties. The<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Student Organization and its Officers acknowledge that they<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0have made the foregoing representations and warranties with<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0the intention of persuading TSSP to enter into this Agreement,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0and that the TSSP has entered into this Agreement on the basis<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0of, and in full reliance on, each of such representations and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0warranties.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a05.3 Survival of Representations and Warranties. The<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0representations and warranties contained herein shall survive<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0the execution of this Agreement and shall be deemed repeated<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0every time this Agreement is renewed, extended or re-availed.<\/div><div>\u00a0<\/div><div><strong>6. Covenants of the Student Organization and Its Officers<\/strong><\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a06.1 Positive Covenants &#8211; During the effectivity of this Agreement,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0the Student Organization and its Officers shall:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(a) Only represent the Student Organization as a student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 organization that is affiliated with TSSP, and not a<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 corporate member, subsidiary, representative, agent,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 partner, service provider or contractor of TSSP.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(b) Maintain the legitimate, good and noble purposes for<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 which it has been established.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(c) Conduct its affairs in accordance with sound organizational<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 practices and good faith.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(d) Observe and comply with the policies, rules, regulations<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 and guidelines of TSSP and the Higher Education<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Institution.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(e) Yearly renew and maintain its permit, registration and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 recognition with the Higher Education Institution, and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 shall at all times be in good standing.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (f) Establish and maintain good record keeping including<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 those pertaining to its membership, plans, activities and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 programs.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(g) Allow the representative of the TSSP to visit and inspect its<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 premises and to its records subject to the limits provided<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 under relevant laws for the protection of personal and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 confidential information.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(h) Execute and deliver such other papers and documents as<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 may be required by law, rules and regulations and as may<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 be reasonably requested by the TSSP to give full force and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 effect to the provisions of this Agreement and the other<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 documents and instruments executed in connection<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 herewith.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a06.2 Negative Covenants &#8211; During the effectivity of this Agreement,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0the Student Organization and its Officers hereby cove\u00acnants<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0that they shall NOT, without the prior written consent of TSSP:<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(a) Represent the Student Organization to be TSSP or a<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 corporate member, subsidiary, representative, agent,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 partner, service provider or contractor of TSSP.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0(b) Allow any of its officers and members to represent<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 themself as a personnel, employee, representative, agent,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 member, partner, service provider or contractor of TSSP.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (c) Enter into or be involved in any activity, conduct,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 undertaking, agreement, or partnership that will be<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 detrimental to the Parties\u2019 affiliation herein, in violation of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 this Agreement, or prejudicial to TSSP.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (d) Amend its Organization Documents.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (e) Adopt Organization Documents or Bylaws that are<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 contrary to the good and noble purposes of the TSSP and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 this Agreement.\u00a0 However, Student Organization practices<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 may differ slightly due to the requirements of being a<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 student organization at the Higher Education Institution.<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 In the case of conflicting requirements, the intent of this<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Agreement shall be mirrored on the Organization<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Documents or Bylaws to the extent possible.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 (f) Commit any act or enter into any<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 agreement or arrangement that would, directly or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 indirectly, (i) violate its affiliation with TSSP; (ii) be in<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 conflict with the interest, purpose, ideals, position, stand or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 policies of TSSP; or (iii) cause damage to TSSP.<\/div><div>\u00a0<\/div><div><strong>7. Intellectual Property<\/strong><\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a07.1 All business\/trade\/registered\/corporate name, trademarks,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0logo, patents, service marks, copyrights and other intellectual<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0property rights (collectively, \u201cIntellectual Property\u201d) of TSSP, as<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0well as the Intellectual Property of its members, will remain<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0its\/their exclusive property notwithstanding the disclosure<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0thereof by TSSP to the Student Organization. Neither the other<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Student Organization nor its present and past members shall<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0assert any claim thereto and shall use such Intellectual Property<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0strictly as set forth in this Agreement and only during the Term<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0of this Agreement. The Student Organization and its present<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0and past members shall not do any act or thing inconsistent<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0with, or contrary to, the ownership of such Intellectual<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Property. The Student Organization and its present and past<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0members shall take all precautions necessary to protect the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Intellectual Property from infringement, damage, colorable<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0imitation and other similar acts (collectively referred to as<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0\u201cImproper Usage\u201d) and shall notify TSSP of such improper usage<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0not later than five (5) days from the time they become aware of<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0or discover such improper usage.\u00a0<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a07.2 Notwithstanding the termination of this Agreement, additional<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Intellectual Property, including technical data, evaluations,<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0reports, studies, and other work produced that may be created<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0in the course of the Parties\u2019 performance of their obligations<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0under this Agreement and as a result of the Parties\u2019 joint<\/div><div>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0contributions (\u201cJoint Work Product\u201d) may only be used by the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Student Organization upon prior written approval of TSSP.<\/div><div>\u00a0<\/div><div><strong>8. Effectivity, Term and Termination.<\/strong> This\u00a0 Agreement\u00a0 shall\u00a0 remain\u00a0 in\u00a0 effect\u00a0 for\u00a0 one\u00a0 (1) year\u00a0 from\u00a0 the\u00a0 date of signing\u00a0 and\u00a0 shall\u00a0 automatically\u00a0 renew\u00a0 for\u00a0 one\u00a0 year\u00a0 terms\u00a0 beginning\u00a0 May\u00a0 1\u00a0 of\u00a0 each\u00a0 year\u00a0 and\u00a0 ending\u00a0 April\u00a0 30\u00a0 of\u00a0 the\u00a0 following\u00a0 year,\u00a0 unless\u00a0 sooner\u00a0 terminated for any reason by either party with a written to the other party.\u00a0<\/div><div>\u00a0<\/div><div><strong>9. Miscellaneous Provisions\u00a0<\/strong><\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.1 Costs. Unless otherwise mutually agreed in writing by the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Parties, each Party shall bear and be exclusively responsible for<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0funding its respective Costs in relation to all activities and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0matters done or carried out in connection with this Agreement.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.2 Governing Law. This Agreement shall be governed by and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0construed in accordance by the laws of the Philippines, and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0venue\u00a0 for\u00a0 purposes\u00a0 of\u00a0 any dispute, claims,\u00a0 or\u00a0 litigation\u00a0 shall <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0be exclusively with the courts of _______________ City.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.3 Assignment. The Student Organization shall not assign any<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0rights or obligations under this Agreement without the prior<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0written consent of TSSP. Any such assignment by the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Organization without the prior written consent of TSSP shall be<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0void.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.4 Separability. If any part of the Agreement should be determined<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0to be invalid, illegal, unenforceable, or contrary to Philippine<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0law, rules or regulations,\u00a0 that\u00a0 part\u00a0 of\u00a0 the\u00a0 Agreement\u00a0 shall\u00a0 be <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0reformed,\u00a0 if\u00a0 reasonably\u00a0 possible,\u00a0 to\u00a0 comply\u00a0 with\u00a0 the <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0applicable\u00a0 law, rules or regulations, and,\u00a0 in\u00a0 any\u00a0 event,\u00a0 the <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0remaining\u00a0 parts\u00a0 of\u00a0 the\u00a0 Agreement shall be fully effective and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0operative insofar as reasonably possible.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.5 Waivers. No delay or omission on the part of TSSP in the<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0exercise of any power or right shall impair any such power or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0right or shall operate as a waiver thereof nor shall any single or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0partial exercise of any such power or right preclude other or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0further exercise thereof or the exercise of any other power or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0right. All rights, powers and remedies of TSSP under this<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Agreement and related documents and shall be deemed<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0cumulative, concurrent and non-exclusive with each other and<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0with any and all other rights, powers and remedies now or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0hereafter available to the TSSP under Philippine laws, contracts<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0or equity.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.6 Amendment &#8211; This Agreement and the terms and conditions<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0hereof may not be changed, discharged, amended, modified or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0altered unless in writing and duly signed by an authorized<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0representative of each of the parties.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.7 Force Majeure. Neither Party shall be liable nor deemed to be in<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0default for any delay or failure in performance under\u00a0 the <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Agreement\u00a0 or\u00a0 other\u00a0 interruption\u00a0 of\u00a0 service\u00a0 deemed <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0resulting,\u00a0 directly\u00a0 or\u00a0 indirectly,\u00a0 from\u00a0 acts\u00a0 of\u00a0 God,\u00a0 acts\u00a0 of <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0public\u00a0 enemy,\u00a0 war,\u00a0 accidents,\u00a0 fires,\u00a0 explosions,\u00a0 hurricanes, <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0floods,\u00a0 failure\u00a0 of\u00a0 transportation,\u00a0 strikes,\u00a0 or\u00a0 other\u00a0 work <br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0interruptions\u00a0 by\u00a0 either\u00a0 Party\u2019s\u00a0 members or personnel,\u00a0 or\u00a0 any<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0similar cause beyond the reasonable control of either Party.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.8 No Employer-Employee, Agency, Partnership, Joint Venture,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Contractor or Service Relationship. Neither TSSP, the Student<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0Organization nor their members shall be considered employers,<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0employees, agents, partners, or joint venturers, contractors or<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0service providers of each other.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.9 Solidary Obligation. The Officers shall be solidarily responsible<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0and liable for all the obligations of the Student Organization<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0under this Agreement.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.10 Counterparts. This Agreement may be signed and executed in<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0counterparts, all of which, taken together, shall constitute one<br \/>\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0and the same instrument.<\/div><div>\u00a0<\/div><div>\u00a0 \u00a0 \u00a09.11 Entire Agreement.
