Annex B-TSSP Student Chapter Template Bylaws

                                                                BYLAWS OF
                                 [NAME OF STUDENT ORGANIZATION]


Article I. Name and Purpose

        Section 1. Name. The name of the organization shall be
                               [organization name].
        Section 2. Purpos. The purpose of [organization name] shall be to:

                          a) Bring students together through organized activities
                               that are consistent with the purpose, ideals and policies
                               of the Transportation Science Society of the Philippines
                               (TSSP);

                          b) Develop and enhance its organization’s and members’
                               knowledge and understanding of transportation
                               engineering, planning and science;

                          c) Enrich member’s learning and practical knowledge in
                               transportation through linkage, exchange and
                               collaboration with transportation experts, educators,
                               practitioners and institutions; and

                         d) Engage in initiatives and undertakings that promote
                               transportation science, justice, and safety.

Article II. Affiliation with TSSP

        Section 1. Affiliation. Pursuant to the above purpose, the
                               organization shall associate or affiliate itself with the
                               TSSP, which is a: (i) a scientific and research society duly
                               registered with the Securities and Exchange
                               Commission (SEC) as a non-stock and non-profit
                               corporation; and (ii) whose purpose, ideals and
                               programs are aligned with those of the organization.

        Section 2. Nature of Affiliation with TSSP. Membership in the
                               student organization is separate and distinct from
                               membership in TSSP. The organization and its members
                               shall not consider or represent themselves as members
                               in TSSP but only as an affiliate or one that is simply
                               associated with TSSP. Neither the organization nor its
                               individual members shall, by reason of the affiliation
                               with TSSP, be entitled to membership and enjoyment of
                               rights, titles and benefits granted to TSSP members.
                               The individual members of the organization are
                               nevertheless encouraged to apply and become:

                   (i) student members of TSSP by applying directly as such with
                        the TSSP; or

                  (ii) associate or regular members of TSSP by applying directly
                        as such with the TSSP after graduating from the Higher
                        Education Institution (identified in Section 1, Article III).

                          a) The organization, its officers and members shall uphold
                               and protect the integrity and good name of TSSP at all
                               times.

                         b) The organization, its officers and members shall not
                               commit any act or enter into any agreement or
                               arrangement that would, directly or indirectly, (i) violate
                               its affiliation with TSSP; (ii) be in conflict with the
                               interest, purpose, ideals, position, stand or policies of
                               TSSP; or (iii) cause damage to TSSP.

                          c) Faculty Advisor. The organization shall choose and
                               appoint a faculty member from the Learning Institution
                               who shall act as the organization’s advisor (the “Faculty
                               Advisor”) in relation the organization’s affiliation with
                               TSSP. The Faculty Advisor should be a full-time faculty
                               member of the Learning Institution and shall have been
                               designated, appointed or chosen as such according to
                               the requirements and practices of the Learning
                               Institution. The Faculty Advisor must also be a regular
                               or lifetime member of and a member in good standing in
                               TSSP. The organization may however choose another
                               faculty member who may advise the organization on
                               matters not related to the TSSP affiliation (the
                               “Organization Advisor”).

Article III. Membership

        Section 1. Eligibility. Membership in the [organization name] shall
                               be open to all currently enrolled students at [name of
                               the Learning Institution] (the “Higher Education
                               Institution”) who are interested in transportation
                               engineering, planning and science.

          Section 2. Membership Categories

                          a) General Members – All enrolled students are eligible                                        for general membership.

                          b) Executive Committee – An elected Executive
                               Committee shall oversee the organization’s activities.
                               Members interested in serving on the Executive
                               Committee must be general members in good standing.

          Section 3. Voting Rights. All general members shall have the right
                               to vote in organizational matters, including elections
                               and amendments to these Bylaws.

Article IV. Leadership and Governance

         Section 1. Executive Committee

                          a) The Executive Committee shall be composed of the
                                following officers:
                                1. President
                                2. Vice President
                                3. Secretary
                                4. Treasurer

                          b) Officers shall be elected annually by a majority vote of
                                the general members.

                          c) The Executive Committee shall be responsible for the
                               overall governance, planning and execution of the
                               organization, its affairs and activities.

                          d) Executive Committee may create such other
                               committees that would be responsible for the planning
                               and executing the organization’s affairs, rules and
                               policies in relation to elections, membership, vacancies,
                               and finances, among others. The Executive Committee
                               shall however retain its authority to supervise and
                               control said committees including their composition.

         Section 2. Meetings

                          a) General meetings shall be held regularly to discuss
                               organizational matters and provide opportunities for
                               member engagement.

                          b) Special meetings may be called by the Executive
                               Committee or upon request by a majority of general
                               members.

Article V. Finances

         Section 1. Budget

                          a) The Executive Committee shall create and maintain a
                               budget for the organization.

                          b) The Treasurer shall oversee financial transactions and
                                report on the organization’s financial status at general
                                meetings

           Section 2. Funding. The organization may seek funding
                                  through various means, including fundraising events,
                                  grants, and sponsorships, to support its operations
                                  and activities.

Article VI. Amendments

           Section 1. Proposals. Amendments to these Bylaws may be
                                  proposed by the Executive Committee or any general
                                  member.

           Section 2. Approval. Amendments to these Bylaws shall be
                                  approved by a two-thirds vote of the general members
                                  present at a general meeting.

Article VII. Dissolution

In the event of dissolution of [Organization Name], any remaining assets shall be distributed to a transportation-related society, organization or charitable organization chosen by the Executive Committee.

Article VII. Ratification

These Bylaws shall be ratified by a two-thirds (2/3) vote of the general members present at the inaugural meeting of [Organization Name].

Article VIII. Adoption and Effective Date

These Bylaws shall become effective upon ratification and shall supersede any previous Bylaws of [Organization Name].
